Services
Digital dudes agree to provide Client with the Services as outlined in the attached proposal or service agreement (the “Proposal”). The Proposal details the specific social media platforms, content creation, community management, reporting, and other services included.
Client Responsibilities
Client agrees to:
- Provide Agency with timely access to all necessary information, materials, and approvals for the Services.
- Comply with all applicable laws and regulations regarding social media marketing.
- Approve all content created by the Agency before it is published on social media.
- Cooperate with the Agency in all aspects of the Services.
- Respond to Agency inquiries in a timely manner.
Content Ownership
- All content created by the Agency for Client under this Agreement shall be owned by Client upon full payment of all fees.
- Agency retains ownership of any pre-existing content or templates used in the Services.
- Client grants Agency a non-exclusive, royalty-free license to use the content created under this Agreement for marketing and promotional purposes.
Term and Termination
- The term of this Agreement shall be for the period outlined in the Proposal (the "Term").
- This Agreement may be terminated by either party upon written notice (the "Termination Notice") for any reason or no reason.
- In the event of termination, Client shall pay the Agency for all Services rendered up to the date of termination.
- Agency may terminate this Agreement immediately upon written notice if Client breaches any material provision of this Agreement and fails to cure such breach within ten (10) business days of written notice.
Fees and Payment
- Client agrees to pay the Agency the fees set forth in the Proposal.
- Payment terms are as outlined in the Proposal 50 % advance before starting .
- Late payments will be subject to a late fee of [percentage]% per month.
- Payment terms are net 30 days from the invoice date.
Confidentiality
- Both parties agree to keep confidential all non-public information of the other party obtained during the course of this Agreement.
- This obligation shall not apply to information that is: (i) already publicly known; (ii) independently developed by the receiving party; or (iii) rightfully obtained from a third party without a confidentiality obligation.
Limitation of Liability
- Agency's liability under this Agreement shall be limited to the amount of fees paid by Client to Agency hereunder.
- Agency shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or relating to this Agreement.
Force Majeure

Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Indian .
Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.
Amendment
This Agreement may be amended only by a writing signed by both parties.
Severability
If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
Other terms
- Our service encompasses comprehensive social media management across Instagram, Facebook, Youtube, and Google Business Profile.
- It involves content creation for all social media creatives.
- We ensure daily posts to keep your online presence active.
- The indicated price is subject to an additional 18% GST, as mandated by government regulations
- Approval of all creatives will be sought prior to publishing
- Any website platform or extra tool fees will be the responsibility of the client.
- Advertisement expenses are not included and will be billed separately to the client.
- Upon commencement, an annual increment of 15% will apply to the service fee.
- All the advertisement expenses will be paid by the client only .
